2. Scope and applicability
These Terms apply to services supplied by the Studio to professional customers acting for business purposes, including branding, visual design, digital strategy, website design and development, content production, consulting, integrations, workflow automation and AI-related consulting or implementation.
A written quotation, proposal, statement of work (SOW) or signed contract (collectively, an Order) specifies the actual services, deliverables, schedule, price and project-specific terms. No service is ordered solely by browsing the Studio website or submitting an enquiry.
The Order and these Terms together constitute the agreement when the customer expressly accepts them. If they conflict, individually negotiated provisions in the signed Order prevail over these Terms. Changes require written agreement (email is sufficient if both parties clearly agree).
These Terms are not intended for consumers.
3. Quotations and contract formation
Quotes are tailored to the project and are valid for 30 calendar days unless another validity period is specified. A quote describes the scope, key assumptions, deliverables, exclusions, charges, applicable taxes, approximate schedule, revision allowance and any third-party costs.
A contract is formed when the customer accepts an Order in writing and the Studio confirms the engagement, subject to any stated deposit or prerequisites. A start date is confirmed after receipt of the agreed initial payment and necessary customer materials, access and approvals.
Verbal requests, informal messages and exploratory conversations do not change the agreed scope without written acceptance.
4. Services, scope and change requests
The Studio will provide the services with reasonable professional care and skill and in accordance with the agreed Order. The Studio does not promise a particular sales, search-ranking, engagement, advertising, fundraising or revenue result unless the Order expressly includes an objectively measurable commitment.
Services and deliverables not explicitly included in an Order are excluded. Additional pages, features, integrations, content, translations, rounds of revisions or changes in requirements will be estimated separately. The Studio will not incur additional billable work without the customer's prior written approval of the associated scope, fees and timing.
5. Customer cooperation
The customer will provide accurate briefs, lawful content, reasonable access to relevant systems, a decision-maker and timely consolidated feedback. The customer is responsible for obtaining rights and permissions for materials, trademarks, data and content it supplies.
Customer-caused delays may require a revised timetable and, where the impact creates additional work, an agreed change order. The Studio is not responsible for losses resulting from missing, inaccurate or unlawfully supplied customer inputs.
6. Timelines and delivery
Delivery dates and project milestones are specified in the Order. Unless expressly identified as binding, estimates are indicative and depend on timely customer cooperation and third-party availability. The Studio will inform the customer of material foreseeable delays and propose an updated schedule.
Deliverables will be supplied using the format, repository, platform or file-transfer method agreed in the Order. The Studio will hand over the deliverables specifically listed in the Order; source files, editable design systems, repositories, credentials, automation scenarios, prompts, technical documentation and training are included only if expressly listed.
7. Review, revisions and acceptance
The Order must state the number of included revision rounds and what constitutes a revision rather than a new request.
The customer should review deliverables and send a consolidated list of material nonconformities against the Order within 10 business days of delivery. The Studio will reasonably correct verified nonconformities within the agreed scope. Silence does not waive rights that cannot lawfully be waived.
Once accepted, additional enhancements or alterations require a new agreement or change order. Acceptance does not eliminate any mandatory rights or remedies under applicable law.
8. Fees and taxes
Fees are set out in each Order, usually in euros (€), and distinguish fixed-price services, time-based services, recurring fees and third-party charges where relevant. Unless the Order states otherwise, quoted prices do not include separately identified third-party subscriptions, paid fonts, stock assets, advertising spend, hosting, domains or other externally billed services.
VAT: If the Studio is eligible for the French VAT exemption (franchise en base), the appropriate legally prescribed non-applicability wording appears on invoices. VAT is not automatically exempt for every domestic or cross-border engagement; the applicable treatment depends on the service, customer and jurisdiction.
No early-payment discount applies. Any discount must be expressly shown in the Order or invoice.
9. Payment terms
Unless an Order states otherwise, project-based work is billed as follows:
- 50% deposit before project commencement;
- 50% upon the final agreed milestone or delivery, as specified in the Order.
For large projects, the parties may agree a milestone schedule; ongoing services may be billed monthly in advance or arrears as written in the Order. Invoices are payable within 15 calendar days from the invoice date unless the Order specifies another lawful deadline.
Payment methods and account details appear on invoices. All bank charges arising from a customer's chosen payment method are allocated in the Order where permitted.
Late payment by professional customers: Subject to applicable French mandatory law, late-payment interest is due automatically after the payment deadline at the rate of the European Central Bank refinancing rate applicable under French commercial law plus 10 percentage points, or another lawful rate explicitly stated in the Order. A fixed recovery-cost indemnity of €40 may be due for qualifying late B2B payments under French law, with additional documented recovery costs recoverable when legally permitted.
Where a payment remains overdue, the Studio may suspend further performance after giving appropriate written notice and an opportunity to remedy, subject to mandatory law and proportionality. Suspension may affect timelines and third-party services.
10. Cancellations, pauses and termination
Either party may terminate an Order for a material contractual breach that remains uncured for 15 calendar days after written notice describing the breach, unless immediate termination is permitted by applicable law or justified by the breach.
Where the customer cancels a project for convenience, the Studio may invoice work actually performed up to the termination date, properly committed and non-recoverable approved third-party expenses, and any other documented amount expressly agreed in the Order and permitted by law. Any prepaid sum exceeding amounts lawfully due will be refunded within a reasonable period.
For ongoing services, notice periods and renewal terms are specified in the Order.
After termination, each party will return or delete the other's confidential information when appropriate, subject to lawful record-retention requirements. The Studio will provide deliverables already paid for to the extent agreed and technically available, without transferring rights that have not been licensed or assigned under section 11.
11. Intellectual property and rights of use
Each party retains ownership of intellectual property, know-how, tools, templates, methodologies and materials owned or developed independently of the project (Background IP). Third-party assets and open-source components remain governed by their respective licences.
The Order specifies, for each relevant creative deliverable, which economic rights are transferred or licensed, the permitted uses, territory, duration, channels or media, exclusivity where applicable, and remuneration. French copyright rules require sufficiently precise identification of transferred rights and the scope of exploitation. These Terms alone are not an unrestricted copyright assignment.
Unless the Order expressly states otherwise, and only to the extent the Studio has the relevant rights, the customer receives a non-exclusive, non-transferable licence to use the final paid deliverables for the expressly agreed business purposes after full payment. This licence does not include resale, sublicensing, distribution of reusable Studio assets or access to source materials unless the Order expressly grants those rights.
For deliverables requiring a broader transfer, a written intellectual-property assignment schedule is appended to the Order and signed by the relevant rights holders. Where subcontractors create works, the Studio secures the necessary rights before granting them to the customer.
Moral rights and other non-transferable rights remain subject to mandatory law.
12. Third-party tools, hosting and licences
Third-party platforms (including website hosts, domain registrars, APIs, AI providers, payment providers, analytics tools and software subscriptions) are governed by their own terms, pricing, uptime and privacy policies. Unless explicitly agreed, the customer is responsible for purchasing and maintaining subscriptions under its own name, paying recurring charges and maintaining appropriate account access and backups.
The Studio is not the guarantor of the uninterrupted availability or unchanged pricing or functionality of third-party products. The Order specifies who administers accounts, owns data and credentials, pays recurring fees, and handles post-launch support.
13. AI-enabled services and automation
AI-assisted outputs can contain inaccuracies, bias, third-party content or unexpected behaviour. The customer remains responsible for human oversight and reviewing outputs before use in high-impact, regulated or customer-facing decisions. The Studio will not present automated decisions as legally or operationally validated unless expressly agreed.
AI or workflow automation projects require a documented scope covering data sources, permitted uses, third-party providers, testing, monitoring, error handling, security access, support period and human-review requirements. Any measurable performance criteria are written in the Order.
The customer must not provide sensitive, confidential or regulated data to a tool without confirming that the parties have established appropriate protections and a valid lawful basis. Where the Studio processes personal data on behalf of the customer, the parties will assess the need for a separate Data Processing Agreement (DPA) before processing begins.
14. Confidentiality and personal data
Each party will use the other party's non-public business information only to perform the agreement, restrict access to personnel and approved subcontractors who need to know it, and protect it with reasonable safeguards. The duty does not apply to information that is public without breach, independently developed or lawfully obtained without a duty of confidentiality, or required to be disclosed by law.
The Studio processes enquiry and account contact data in accordance with its Privacy Policy. For customer personal data processed on the customer's instructions, a separate DPA will govern controller and processor roles and processing details where applicable.
15. Portfolio and publicity
The Studio will not disclose confidential project information or publish unpublished customer materials without appropriate permission. Any public portfolio use of the customer's name, trademarks or finished work must be expressly authorised in the Order or separately in writing; permissions may be subject to confidentiality, trademark and third-party rights.
16. Warranties and liability
The Studio will perform the services with reasonable professional care and remedy substantiated defects or failures to meet agreed specifications in accordance with the Order and applicable law. Each party remains responsible for its own unlawful acts and obligations that cannot be excluded by contract.
To the maximum extent permitted by applicable law, neither party will be liable for indirect or consequential loss that was not reasonably foreseeable under the agreement.
No clause in these Terms overrides mandatory statutory protections or exclusions that are prohibited under applicable law.
17. Force majeure
Neither party will be responsible for a failure or delay resulting from a force majeure event as defined by applicable law, provided that it promptly informs the other party and takes reasonable steps to reduce the impact. If the event continues and materially prevents performance, the parties will discuss lawful suspension or termination and settlement of amounts due for completed work.
18. Governing law and disputes
These Terms are governed by French law, subject to any overriding mandatory law that applies to the parties or transaction. The parties will first attempt to resolve disputes through good-faith written discussions.
Customers located in Switzerland, the EU or elsewhere may benefit from mandatory jurisdiction and other protections that cannot be contracted away by these Terms.
19. General provisions
If any provision is found unenforceable, the remainder will continue insofar as legally possible. Failure to enforce a provision immediately is not a waiver of future rights. Neither party may transfer the agreement without the other's prior written approval, except as allowed by applicable law and the Order.
The parties may sign Orders electronically and exchange operational approvals by email where legally valid.
